Terms of Service

1. Service Description

RMB Suite is a restaurant operations platform developed and operated by Roni's Mac Bar (“Company,” “we,” “us,” or “our”). RMB Suite provides tools for scheduling, inventory management, employee training, sales outreach, bookkeeping integrations, and Google Business Profile management (“Service”).

By creating an account or using the Service, you (“Customer,” “you,” or “your”) agree to these Terms of Service (“Terms”). If you are accepting on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must provide accurate and complete information when creating your account and keep it up to date.
  • You must promptly notify us at legal@rmbsuite.com if you suspect unauthorized access to your account.
  • You are responsible for ensuring that all users you add to your account comply with these Terms.

3. Acceptable Use

You agree not to use RMB Suite to:

  • Violate any applicable law, regulation, or third-party rights.
  • Transmit malware, spam, or any harmful code.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Reverse-engineer, decompile, or otherwise attempt to extract source code from the Service.
  • Use the Service to build a competing product or service.
  • Resell or sublicense access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. Payment Terms

  • Subscription: RMB Suite is offered on a monthly subscription basis, billed per location. Billing occurs on a recurring monthly cycle starting from the date of your first paid subscription.
  • Free trial: We may offer a free trial period. At the end of the trial, your subscription will begin unless you cancel beforehand.
  • Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.
  • Price changes:We will provide at least 30 days’ notice before changing subscription pricing. Continued use after the effective date constitutes acceptance.
  • Payment failures: If a payment fails, we may suspend access to the Service until payment is resolved. We will attempt to notify you at your account email.

5. Intellectual Property

RMB Suite and all related software, designs, trademarks, and content are owned by or licensed to Roni's Mac Bar. These Terms do not grant you any ownership rights in the Service.

You retain ownership of all data and content you upload to the platform. By using the Service, you grant us a limited license to store, process, and display your content solely to operate the Service on your behalf.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.
  • In no event shall Roni's Mac Bar be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the Service.
  • Our total liability to you for any claim arising from these Terms or the Service shall not exceed the greater of (a) the fees you paid in the 3 months preceding the claim, or (b) $100 USD.

7. Termination

Either party may terminate the agreement at any time. We may terminate or suspend your account immediately if you violate these Terms or if required by law. Upon termination, your access to the Service will cease and we will handle your data per our Privacy Policy.

8. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Texas.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
